Terms of Service

1. Agreement to Terms

By accessing or using ReGild (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the service.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use ReGild. By creating an account, you represent and warrant that you meet these requirements.

2. Description of Service

ReGild is an AI persona platform that creates personalized AI companions designed to help you reflect, grow, and build meaningful connections. The service includes conversational AI personas with persistent memory, document libraries, third-party integrations, optional voice synthesis, and related features.

ReGild is not a substitute for professional services. Our AI personas do not provide medical, legal, financial, therapeutic, or mental health advice. See Section 11 for important limitations.

3. Your Data, Your Ownership

You own your data. The personal information you share with us — your name, values, goals, conversations, and uploaded content — belongs to you. We are stewards of this data, not owners.

  • You can export your data at any time in a portable format
  • You can delete your data at any time
  • We will never sell your personal information
  • Your data is used solely to provide and improve your experience with your AI personas

License grant: By using ReGild, you grant us a limited, non-exclusive, revocable license to process, store, and transmit your content solely for the purpose of operating and improving the service. This license terminates when you delete your content or close your account.

4. Intellectual Property

  • Platform: ReGild, including its software, design, branding, and proprietary AI systems and methodologies, is owned by ReGild and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from our platform.
  • Your content: You retain full ownership of all content you create, upload, or provide to ReGild, including conversation inputs, uploaded documents, and profile information.
  • AI-generated output: You own the AI-generated responses and content produced during your conversations, subject to any rights of the underlying AI model providers. We make no claim of ownership over AI outputs generated for you.
  • Persona configurations: The persona settings, preferences, and customizations you create are yours. We retain a license to use them solely to operate the service on your behalf.

5. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must not share your account with others or allow unauthorized access
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately if you suspect unauthorized access to your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

6. Acceptable Use Policy

You agree not to use ReGild to:

  • Violate any applicable law, regulation, or third-party rights
  • Harass, threaten, defame, or intimidate any person
  • Generate, upload, or distribute content that exploits minors
  • Attempt to circumvent safety measures, content filters, or usage limits
  • Access the service through automated means (bots, scrapers, scripts) without our written permission
  • Reverse-engineer, decompile, or attempt to extract the source code or proprietary systems of ReGild
  • Impersonate another person or misrepresent your affiliation with any entity
  • Introduce malware, viruses, or other harmful code
  • Use AI outputs to generate spam, disinformation, or deceptive content at scale

We reserve the right to investigate and take appropriate action — including account suspension or termination — for any violation of this policy.

7. Bring Your Own Key (BYOK)

ReGild allows you to provide your own API keys for third-party AI providers (such as OpenAI, Anthropic, Google, or ElevenLabs). If you use this feature:

  • Your keys, your responsibility: You are solely responsible for the security, usage, and associated costs of your API keys. ReGild is not liable for any charges incurred through your keys.
  • Encryption: We encrypt your keys at rest using industry-standard encryption. Keys are decrypted only at the moment of use and are never logged or stored in plaintext.
  • Third-party terms: Your use of BYOK keys is governed by your own agreement with the respective provider. You are responsible for complying with their terms of service, usage policies, and rate limits.
  • Revocation: You can delete or rotate your stored keys at any time through Settings. We recommend rotating keys periodically.
  • No liability: ReGild is not responsible for service disruptions, data processing, or costs arising from the use of your personal API keys.

8. Voice Synthesis

ReGild offers optional text-to-speech voice synthesis powered by ElevenLabs. By enabling this feature, you acknowledge and agree that:

  • Persona text responses will be sent to ElevenLabs for audio generation
  • Generated audio uses pre-built synthetic voices — your voice is never recorded, sampled, or cloned
  • Voice synthesis is entirely opt-in and can be disabled at any time
  • You will not use generated voice audio to impersonate real individuals or for deceptive purposes
  • If you provide your own ElevenLabs API key (BYOK), voice processing is governed by your direct agreement with ElevenLabs

9. Third-Party Integrations

ReGild allows you to connect third-party services (such as Notion, Google Calendar, and Hevy) via OAuth or API integrations. By connecting a third-party service:

  • You authorize ReGild to access and interact with the connected service on your behalf, within the scope of permissions you grant
  • Your use of connected services remains subject to that service's own terms and privacy policy
  • ReGild is not responsible for the availability, accuracy, or data practices of third-party services
  • You can disconnect any integration at any time, which revokes our access and deletes stored tokens

10. Payments & Subscriptions

  • Processing: All payments are processed through Stripe. We do not store your credit card information.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
  • Cancellation: You can cancel your subscription at any time. You will retain access through the end of your current billing period.
  • Refunds: Refunds are considered on a case-by-case basis. Contact us at support@regild.ai for refund requests.
  • Price changes: We may change subscription prices with at least 30 days' prior notice. Continued use after a price change constitutes acceptance.
  • Fair use: Free-tier and standard accounts are subject to daily and monthly message limits to ensure fair access for all users. Current limits are displayed in your account settings.

11. AI Limitations & Disclaimer

This is important — please read carefully:

  • AI personas are not substitutes for professional medical, legal, financial, therapeutic, or mental health services
  • AI-generated responses may be inaccurate, incomplete, or inappropriate. Large language models can produce confident-sounding but factually incorrect information (commonly known as “hallucinations”).
  • You should independently verify any factual claims, recommendations, or advice before acting on them
  • If you are in crisis or experiencing a mental health emergency, please contact emergency services (911) or the 988 Suicide & Crisis Lifeline (call or text 988)
  • ReGild continuously works to improve safety and accuracy but cannot guarantee that AI outputs will be error-free, harmful-content-free, or suitable for any particular purpose
  • You assume all risk associated with your use of and reliance on AI-generated content

12. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REGILD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF AI-GENERATED CONTENT
  • WARRANTIES THAT AI OUTPUTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

We work hard to make ReGild helpful and reliable, but AI technology has inherent limitations. This disclaimer does not affect any rights you may have under consumer protection laws that cannot be waived or limited by contract.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REGILD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF REGILD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL REGILD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO REGILD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

This limitation applies to all claims, including those related to AI-generated content, third-party integrations, BYOK usage, and voice synthesis. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless ReGild and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the service; (c) content you upload or provide; (d) your use of BYOK keys and any resulting third-party charges or claims; (e) your use of AI-generated outputs; or (f) your violation of any third-party rights.

15. Data Deletion & Account Termination

  • Your right to terminate: You may delete your account at any time. Upon deletion, we will permanently remove your profile, conversations, uploaded files, stored API keys, persona memories, and integration tokens within 30 days. This process is irreversible.
  • Our right to terminate: We may suspend or terminate your account if you violate these Terms, engage in conduct that is harmful to other users or to ReGild, or if we are required to do so by law. We will provide notice where practicable.
  • Effect of termination: Upon termination, your right to use the service ceases immediately. Sections 4, 6, 12, 13, 14, 17, 18, and 20 survive termination.

16. Service Availability

We strive to keep ReGild available and reliable, but we do not guarantee uninterrupted or error-free access.

  • The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control
  • We may modify, suspend, or discontinue any part of the service at any time with reasonable notice
  • Force majeure: ReGild is not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, third-party service failures, cyberattacks, or acts of war

17. Dispute Resolution

We want to resolve disputes fairly and efficiently. Please read this section carefully, as it affects your legal rights.

Informal Resolution First

Before filing any formal claim, you agree to contact us at support@regild.ai and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If we cannot resolve the dispute informally, you and ReGild agree to resolve any claims through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Class Action Waiver

YOU AND REGILD AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

Exceptions

Either party may bring a claim in small claims court for disputes within the court's jurisdictional limits. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Texas for any disputes arising out of or related to these Terms.

19. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you via email or in-app notification at least 30 days before the changes take effect. Your continued use of ReGild after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you should discontinue use and delete your account before the changes take effect.

20. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReGild regarding your use of the service
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • No waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Notices: We may provide notices to you via email, in-app notification, or by posting on the service. You may provide notices to us at support@regild.ai.
